Udyam & MSME Basics

What is Udyam Registration?

Udyam Registration is the Government of India's official online registration for Micro, Small and Medium Enterprises (MSMEs). On completing it, your business receives a permanent Udyam Registration Number (URN) and an e-certificate issued by the Ministry of MSME through the portal udyamregistration.gov.in.

What is MSME registration?

MSME registration is the popular name for Udyam Registration — the single, government-recognised way to formally register a Micro, Small or Medium Enterprise in India and become eligible for MSME schemes, subsidies and priority lending.

Are Udyam Registration and MSME registration the same thing?

Yes. Since 1 July 2020, MSME registration is done only through the Udyam Registration system. So 'MSME registration', 'Udyam registration' and 'Udyam Aadhaar registration' all refer to the same official process.

What does MSME stand for?

MSME stands for Micro, Small and Medium Enterprises. These are defined under the MSMED Act, 2006 and classified by their investment in plant, machinery or equipment and their annual turnover.

What is a Udyam Registration Number (URN)?

The Udyam Registration Number (URN) is a unique, permanent ID issued to your enterprise on registration, in the format UDYAM-XX-00-0000000 (state code, district code and a serial number). It is your lifelong MSME identity and never needs renewal.

What is the Udyam Registration Certificate?

The Udyam Registration Certificate is the e-certificate proving your MSME status. It carries your URN, enterprise details, classification (Micro/Small/Medium) and a dynamic QR code that links to your details on the government portal.

When was Udyam Registration introduced?

Udyam Registration came into effect on 1 July 2020, replacing the older Udyog Aadhaar Memorandum (UAM) and EM-II processes with a fully online, PAN- and GST-integrated system.

What is the difference between Udyam Registration and Udyog Aadhaar?

Udyog Aadhaar (UAM) was the old MSME registration used before July 2020. Udyam Registration is its successor — it is paperless, validates data directly from PAN, GST and Income Tax records, and re-classifies your enterprise automatically each year. Existing Udyog Aadhaar holders must migrate to Udyam.

Is Udyam Registration mandatory in India?

Udyam Registration is not legally compulsory to run a business, but it is effectively essential to claim MSME benefits — collateral-free loans, subsidies, tender preferences and protection against delayed payments. Many banks and large buyers now ask for a Udyam Certificate.

What is the official Udyam Registration portal?

The only official Udyam Registration portal is https://udyamregistration.gov.in, run by the Ministry of Micro, Small and Medium Enterprises. Registration there is free of cost.

Who can apply for Udyam Registration?

Any enterprise engaged in manufacturing, production, processing or providing services can apply — including proprietorships, partnerships, LLPs, private limited companies, HUFs, co-operatives, societies and trusts — as long as it falls within the MSME investment and turnover limits.

What business activities are covered under MSME/Udyam?

Both manufacturing and service enterprises are covered, across thousands of activities classified by NIC (National Industrial Classification) codes. Wholesale and retail trade is also allowed (mainly for priority-sector lending benefits).

Can traders register under Udyam?

Yes. Since July 2021, wholesale and retail traders can register on Udyam under the relevant NIC codes. Traders primarily become eligible for priority-sector lending benefits through their Udyam Registration.

Is the Udyam Registration valid for a lifetime?

Yes. The Udyam Registration Number and certificate are permanent and do not expire or require renewal. Your Micro/Small/Medium category is simply re-assessed automatically each year from your ITR and GST data.

Classification & Limits (2025-26)

How are enterprises classified as Micro, Small or Medium?

Classification uses a composite criterion of two factors: (1) investment in plant and machinery or equipment, and (2) annual turnover. An enterprise must satisfy both limits for a category; if it crosses either ceiling, it moves up to the next category.

What are the latest MSME classification limits in 2025-26?

Effective 1 April 2025, the revised limits are — Micro: investment up to ₹2.5 crore and turnover up to ₹10 crore; Small: investment up to ₹25 crore and turnover up to ₹100 crore; Medium: investment up to ₹125 crore and turnover up to ₹500 crore.

What is a Micro enterprise?

A Micro enterprise is one where investment in plant and machinery or equipment does not exceed ₹2.5 crore and annual turnover does not exceed ₹10 crore (revised limits effective 1 April 2025).

What is a Small enterprise?

A Small enterprise is one where investment does not exceed ₹25 crore and annual turnover does not exceed ₹100 crore, under the limits effective 1 April 2025.

What is a Medium enterprise?

A Medium enterprise is one where investment does not exceed ₹125 crore and annual turnover does not exceed ₹500 crore, under the limits effective 1 April 2025.

When did the new MSME classification limits come into effect?

The enhanced limits were announced in the Union Budget 2025-26 and notified on 21 March 2025, taking effect from 1 April 2025. Investment limits were raised 2.5 times and turnover limits 2 times the previous thresholds.

How is 'investment in plant and machinery' calculated for Udyam?

Investment is linked to the figures in your Income Tax Return (ITR) of earlier years. It covers tangible plant, machinery and equipment but excludes land, buildings, furniture and fittings. The Udyam portal fetches this data automatically using your PAN.

How is 'turnover' calculated for MSME classification?

Turnover is your annual sales as reported in your GST returns (GSTR) and Income Tax Return. The portal pulls these figures directly from the GSTN and Income Tax databases linked to your PAN and GSTIN.

Is export turnover counted for MSME classification?

No. Exports of goods or services are excluded from turnover when classifying an enterprise as Micro, Small or Medium. This lets exporters grow without losing their MSME status.

What is the composite criteria for MSME classification?

The composite criterion means both investment and turnover are considered together. An enterprise stays in a category only if it is within both the investment and the turnover ceiling for that category.

What happens if my business crosses the limit of its category?

If you exceed the investment or turnover ceiling of your current category, your enterprise is automatically re-classified into the next higher category (e.g. Micro to Small) based on your annual ITR and GST data.

Will my MSME category change automatically?

Yes. The Udyam system re-assesses your category every year using the previous year's ITR and GST filings, so your certificate stays current without any manual action from you.

Are land and building included in the investment calculation?

No. The cost of land and buildings is not included in the investment in plant and machinery or equipment used for MSME classification. Only eligible plant, machinery and equipment are counted.

How is investment calculated for a brand-new business with no ITR?

For a new enterprise that has not yet filed an ITR, investment and turnover are taken on a self-declaration basis. This relaxation ends after 31 March of the financial year in which the enterprise files its first income tax return.

Documents & Requirements

What documents are required for Udyam Registration?

Practically none are uploaded. You need your Aadhaar number, your PAN, and (where applicable) your GSTIN and bank account details. The process is paperless and based on self-declaration, with data validated from government databases.

Do I need to upload documents on the Udyam portal?

No. The Udyam portal does not require you to upload any documents, photos or scanned copies. Your details are verified electronically against PAN, GST and Aadhaar records.

Is Aadhaar mandatory for Udyam Registration?

Yes. Aadhaar is mandatory, and registration is authenticated via an OTP sent to the mobile number linked to that Aadhaar.

Whose Aadhaar is required for different business types?

Proprietorship — the proprietor's Aadhaar; Partnership — the managing partner's; HUF — the Karta's; Company/LLP/Co-operative/Society/Trust — the Aadhaar of the authorised signatory, along with the organisation's PAN and GSTIN.

Is a PAN card mandatory for Udyam Registration?

Yes. PAN has been mandatory since 1 April 2021 and is used to fetch your investment and turnover data from Income Tax records for accurate classification.

Is GST registration mandatory for Udyam?

GSTIN is required only if your business is required to obtain GST registration under GST law. Enterprises legally exempt from GST can register on Udyam without a GSTIN by declaring their exempt status.

Can I get Udyam Registration without GST?

Yes — if you are not required to have GST registration under the law. The portal allows such enterprises to proceed without a GSTIN. If GST is mandatory for your business, you must obtain it first.

Is a bank account required for Udyam Registration?

You provide your business bank account number and IFSC during registration. It is needed for your enterprise record and to receive scheme benefits, though no documents are uploaded.

Is a mobile number linked to Aadhaar necessary?

Yes. The Aadhaar OTP is sent to the mobile number registered with your Aadhaar, so that number must be active and accessible to complete registration.

What if my mobile number is not linked to Aadhaar?

You must first link a mobile number to your Aadhaar at a UIDAI enrolment centre, because the registration OTP can only be delivered to the Aadhaar-linked number. Once linked, you can register normally.

Registration Process

How do I register for Udyam online?

Enter your Aadhaar and verify it with an OTP, enter your PAN for validation, then fill in your enterprise details — name, type, address, bank, NIC activity codes and basic figures. On submission, your URN and certificate are generated. With bizfintax, we guide and auto-fill these steps for you in minutes.

Is Udyam Registration done fully online?

Yes. The entire process is online and paperless — from Aadhaar OTP verification to certificate generation. No physical visit or document submission is needed.

What is the Aadhaar OTP step in Udyam Registration?

To confirm your identity, the portal sends a One-Time Password (OTP) to your Aadhaar-linked mobile number. You enter this OTP to authenticate. For security and legal reasons, this OTP must always be entered by you and is never auto-filled.

Can I complete Udyam Registration on a mobile phone?

Yes. The process works on any smartphone browser. The bizfintax flow is fully mobile-friendly, so you can register start-to-finish from your phone.

How do I choose the right NIC code for my business?

Yes — the government charges nothing. Any amount you pay to a facilitation service (like bizfintax) is only for assistance, accurate filing and expert support, not a government fee.

How do I avoid Udyam Registration scams and fake websites?

Be wary of sites mimicking the government domain or demanding large 'government fees'. Remember the official fee is zero, the official portal is udyamregistration.gov.in, and a legitimate facilitator (like bizfintax) is transparent that its charge is a service fee only.

Is there any renewal fee for Udyam Registration?

No. The registration is permanent with no renewal and therefore no renewal fee. Your category simply updates automatically each year from your ITR and GST data.

Certificate, URN & Verification

What information is on the Udyam Certificate?

It shows your Udyam Registration Number, enterprise name and type, owner details, major activity, NIC codes, classification (Micro/Small/Medium), date of registration and a QR code linking to your official record.

Does the Udyam Certificate have a QR code?

Yes. The certificate carries a dynamic QR code that, when scanned, displays your enterprise details from the government portal — letting banks and buyers verify it instantly.

How do I verify or check a Udyam Registration Number?

Use the 'Verify Udyam Registration Number' option on udyamregistration.gov.in and enter the URN, or scan the QR code on the certificate, to confirm an enterprise's MSME status.

What is the format of a Udyam Registration Number?

A URN looks like UDYAM-XX-00-0000000, where XX is the state code, 00 is the district code and 0000000 is a unique serial number — for example, UDYAM-MH-13-0000001.

I lost my URN — how do I recover it?

Use the 'Forgot URN' option on the official portal, where you can retrieve it using your registered mobile or email and an OTP. If you registered through bizfintax, contact us and we'll help you retrieve it.

After downloading the PDF from the portal's Print/Verify section (verified by OTP), you can print it on any printer. The certificate is valid in digital (e-certificate) form as well.

Is there an expiry date on the Udyam Certificate?

No. The Udyam Certificate has no expiry date and never needs renewal. It remains valid for the life of the enterprise.

Benefits & Government Schemes

What are the benefits of Udyam/MSME Registration?

The Udyam Certificate is one of the most useful business documents you can hold. Most importantly, banks widely accept it as valid proof of your enterprise to open a current account. Beyond that it unlocks collateral-free loans, priority-sector lending, interest and capital subsidies, preference and EMD exemptions in government tenders, protection against delayed payments, concessions on trademark and patent fees, and easier access to many central and state MSME schemes.

Does Udyam Registration help in getting business loans?

Yes. A Udyam Certificate is widely accepted by banks and NBFCs and helps you access MSME loan products, including collateral-free credit under the CGTMSE scheme and loans under priority-sector lending norms.

What is a collateral-free MSME loan (CGTMSE)?

Under the Credit Guarantee Fund Trust for Micro and Small Enterprises (CGTMSE), banks can extend loans to MSMEs without collateral because the loan is backed by a government-supported guarantee. Udyam Registration is generally required to avail it.

How does MSME registration help with government tenders?

Registered MSMEs get benefits in public procurement such as exemption from Earnest Money Deposit (EMD), free or discounted tender documents, and purchase preference under the government's procurement policy for MSEs.

What is protection against delayed payments for MSMEs?

Under the MSMED Act, a buyer must pay a registered Micro or Small enterprise within 45 days. If it fails to, the buyer is liable to pay compound interest at three times the RBI-notified bank rate on the outstanding amount.

What is the MSME Samadhaan portal?

MSME Samadhaan is the government portal where registered Micro and Small enterprises can file complaints against buyers for delayed payments and pursue resolution under the MSMED Act.

Does Udyam help with the GeM portal?

Yes. Udyam Registration makes it easier to onboard as a seller on the Government e-Marketplace (GeM) and to access MSE-specific tender benefits there.

Are there subsidies on trademark and patent fees for MSMEs?

Registered MSMEs are eligible for government support and fee concessions on patent and trademark registration under IPR-promotion schemes, lowering the cost of protecting their brand and innovations.

Does MSME registration give tax benefits?

Udyam itself is not an income-tax exemption, but it enables benefits like the Section 43B(h) rule — a buyer can only claim a tax deduction for purchases from a registered Micro/Small enterprise if it pays within the MSMED Act time limit, which encourages prompt payment to MSMEs.

What is priority sector lending for MSMEs?

Banks are required to lend a portion of their credit to priority sectors, which includes MSMEs. Udyam Registration helps your enterprise (including traders) qualify for this priority-sector credit.

Are there electricity bill concessions for MSMEs?

Several state governments offer electricity duty exemptions or tariff concessions to registered MSMEs. The exact benefit varies by state, so check your state's MSME/industries policy.

What is the CLCSS subsidy?

The Credit Linked Capital Subsidy Scheme (CLCSS) provides a capital subsidy to eligible MSMEs for upgrading their technology and machinery through institutional finance, subject to scheme conditions and ceilings.

Can MSMEs get interest subvention on loans?

Yes. From time to time the government runs interest-subvention schemes that reduce the effective interest rate on loans to registered MSMEs. Availability depends on the scheme in force.

Does Udyam Registration help with ISO certification costs?

MSMEs may be eligible for reimbursement or support towards certification costs (such as ISO) under applicable government schemes. Benefits and eligibility change over time, so confirm the current scheme before applying.

Updates, Amendment & Cancellation

How do I update my Udyam Registration details?

Log in to the official portal using your URN and an Aadhaar OTP, then edit the details you want to change and re-submit. bizfintax also offers a Udyam amendment service to handle updates for you.

Can I change my business name on Udyam?

Yes. You can update your enterprise name through the Udyam update/amendment process on the portal, verified by an Aadhaar OTP.

Can I add or change NIC codes after registration?

Yes. You can add, remove or change NIC activity codes at any time through the amendment process, with no fee for the changes.

How do I update investment and turnover details?

These figures are largely auto-updated each year from your ITR and GST data. You can also edit them through the update process when needed, for example after filing fresh returns.

Can I cancel my Udyam Registration?

If your enterprise has closed or the registration is no longer needed, you can request cancellation through the portal. It is best to take guidance so any linked benefits or filings are handled correctly — our experts can assist.

What happens to my Udyam if I close my business?

You should update the portal to reflect closure or cancel the registration. Leaving an inactive registration unattended can cause discrepancies with your GST and income-tax records.

How do I migrate from Udyog Aadhaar (UAM) to Udyam?

Existing Udyog Aadhaar holders must re-register on the Udyam portal to obtain a new Udyam Registration Number. The old UAM is no longer treated as valid MSME registration.

Is my old Udyog Aadhaar still valid?

No. Udyog Aadhaar Memorandums have ceased to be valid for availing MSME benefits. If you still hold one, you should migrate to Udyam Registration without delay.

Can I update my mobile number or email on Udyam?

Yes. Contact details such as mobile number and email can be updated through the Udyam update process on the official portal.

How do I update my address on the Udyam Certificate?

Use the amendment/update option on the portal to edit your official or plant address, then re-submit with Aadhaar OTP verification to regenerate the certificate.

Special Topics & Troubleshooting

What is the Udyam Assist Platform (UAP)?

The Udyam Assist Platform helps Informal Micro Enterprises (IMEs) that lack PAN or GST to get formally recognised as MSMEs. They are onboarded through Designated Agencies (such as banks), bringing the smallest businesses into the formal system.

Who are Informal Micro Enterprises (IMEs)?

IMEs are very small businesses outside the GST/PAN net — often tiny traders, vendors and home enterprises. They can be formalised via the Udyam Assist Platform and gain access to priority-sector lending and other benefits.

Can I register for Udyam without a PAN?

The main Udyam portal requires PAN. If you don't have one, you may be onboarded as an Informal Micro Enterprise through the Udyam Assist Platform; otherwise, obtain a PAN first and then register on Udyam.

Is a GST number compulsory for small traders on Udyam?

Only if GST registration is legally required for that trader. Small traders below the GST threshold and exempt from GST can register on Udyam without a GSTIN.

What is the difference between Udyam and GST registration?

GST registration is for collecting and paying Goods and Services Tax, while Udyam Registration certifies your enterprise as an MSME for benefits and schemes. They are separate registrations serving different purposes, though Udyam uses your GST data.

Will Udyam Registration affect my income tax?

Udyam Registration does not change your income-tax liability. It does enable MSME-linked provisions — for instance, it strengthens your position under the delayed-payment and Section 43B(h) rules that benefit MSME suppliers.

I got an OTP error during registration — what should I do?

Make sure the mobile number linked to your Aadhaar is active and has signal, wait a moment and request the OTP again. Repeated failures usually mean the number isn't linked to Aadhaar or there's a temporary portal delay.

My PAN details are not validating — what's wrong?

Check that the name and date of birth/incorporation on your PAN match Aadhaar and that your PAN is active. Mismatches between PAN, Aadhaar and entity records are the most common cause; correct them and retry.

Can NRIs or foreign nationals get Udyam Registration?

Udyam Registration is built around Indian Aadhaar and PAN, so it is intended for enterprises run by Indian residents. NRIs or foreign-owned entities should take professional advice on the right structure and registration path.

Is Udyam Registration required to open a current account?

It is not always mandatory, but banks frequently accept the Udyam Certificate as valid business proof, which can make opening a current account and accessing MSME banking products easier.

Can I register if my business has not started yet?

You should register once your enterprise has commenced activity (you provide a date of commencement). A brand-new enterprise can register and declare figures on a self-declaration basis until its first ITR is filed.

Does Udyam Registration need to be renewed every year?

No. There is no annual renewal. Your registration is permanent and your Micro/Small/Medium category is updated automatically each year from your tax and GST filings.
